Terms and Conditions

 

 

Article 1. Definitions

 

  1. Suits and Sundays: The general partnership

  2. The client: the natural person or legal entity who concludes an agreement with Suits and Sundays with regard to the products and / or services to be provided by Suits and Sundays. The customer also includes the client, organizer, initiator, contact person or authorized representative of the organization of the company or all participants in the activities to be organized by Suits and Sundays.

  3. The agreement: the agreement concluded with Suits and Sundays, which relates to the products or services of Suits and Sundays.

  4. Activity: the services offered by Suits and Sundays whereby products can also be delivered, which consist of: Renting out space, Supporting (technical) personnel and F&B arrangements.

 

Article 2. General

 

  1. These general terms and conditions apply to all quotations and reservation confirmations with regard to the products and / or services to be provided by Suits and Sundays.

  2. Suits and Sundays cannot be bound by acts and / or verbal agreements of persons who represent it without authorization, unless the agreements have been confirmed in writing by authorized persons.

 

Article 3. Formation of the agreement

 

  1. If the customer requests Suits and Sundays to make a quotation with regard to a specific activity or with regard to a specific service to be provided by Suits and Sundays, this will be regarded as an invitation to make an offer.

  2. An offer made by Suits and Sundays, in writing or orally, is always without obligation. The offer in the form of a quotation is even without obligation if a fixed term for acceptance is stated in the offer, unless Suits and Sundays has explicitly stated in the offer that the offer is irrevocable in addition to stating a fixed term for acceptance. If such a term is not stated in a written offer, Suits and Sundays will consider this offer to have lapsed after the expiry date stated on the offer, without the need for filing. The option date can be extended at the request of the customer and after approval of Suits and Sundays.

 

  1. An agreement is concluded when the confirmation of the final reservation has reached Suits and Sundays by email.

  2. If a client of Suits and Sundays refers to the general terms and conditions in the quotation and in the reservation confirmation, this reference will have no effect and the present general terms and conditions apply exclusively.

  3. Acceptances, whether or not in the form of an order confirmation from the customer, containing substantial additions, restrictions or other changes, are considered a new offer and rejection of the original offer in the form of a quotation.

  4. Substantial additions, limitations or other instructions within the meaning of the previous article are subject to additional or deviating conditions with regard to price, payment, quality, finishing and quantity of the products, the place and time of delivery, the extent of liability of a of both parties against another and the settlement of disputes.

 

Article 4. Prices

 

  1. The prices including sales tax are stated on the Suits and Sundays website.

  2. The total price stated by Suits and Sundays in the quotation / order confirmation includes sales tax.

  3. In the event of cost-determining factors, Suits and Sundays is entitled to increase the prices and / or agreed prices stated in its quotations and offers accordingly.

 

Article 5. Payment

 

  1. Payment is made by invoice, unless otherwise agreed in writing.

  2. If payment is not made within the set payment term, the client is in default without notice of default.

  3. If the client fails to pay after the reminder, Suits and Sundays will charge the statutory interest of 8% extra on the outstanding total amount.

  4. Suits and Sundays expressly reserves the right to demand provisional or partial payment from the client for the execution of the agreement.

  5. All payments will always and exclusively be used up to and be used for payment of the oldest outstanding invoices.

  6. All payments must be made in European Euros.

  7. If the client fails to fulfill its obligation to pay, Suits and Sundays may request the assistance of a third party for the collection of the outstanding invoices. The extrajudicial collection costs are for the account of the client. These costs amount to 15% of the amount due with a minimum of euro 91.00 plus sales tax.

 

Article 6. Cancellation & changes

 

  1. If the client wishes to cancel the agreement regarding the renting of space, whether or not in part, the client owes an amount of:

  • Cancellation: 21 days prior to the activity / event date: 25%

  • Cancellation: 14 days prior to the activity / event date: 50%

  • Cancellation: 7 days prior to the activity / event date: 100%

  • Changes: 21 days prior to the date activity event, the customer can change the number of participants / guests and / or change F&B packages free of charge.

  • Changes: 14 days prior to the activity / event date, the customer can make a maximum change of 10% percent of the total number of participants / guests. For example, for a quote request for 20 guests, a change can be made of 2 people less. With more persons than requested in the quotation, this can always be changed free of charge in consultation with Suits and Sundays. The F&B packages can be changed free of charge.

  • Changes 7 days prior to the activity / event date, the number of participants / guests cannot be deducted, this also applies to the F&B package. It is of course possible to come with fewer participants / guests, but this will not be adjusted on the invoice. With more guests, this can be changed in consultation with Suits and Sundays.

 

Article 7. Liability

 

  1. Suits and Sundays is not liable for damage caused by the services and / or services provided by Suits and Sundays on the part of the client or a third party, unless there is intent or deliberate recklessness on the part of Suits and Sundays that has caused damage.

  2. Suits and Sundays is neither liable towards the client nor towards third parties for damage to clothing of the client or third parties or damage to other property of the client or third parties, except in the case of intent or willful recklessness on the part of the board members or the managerial subordinates of Suits and Sundays that caused the damage. Suits and Sundays is not liable for consequential damage.

  3. Suits and Sundays is neither liable towards the other party nor towards third parties for damage caused by injury to the client or third parties.

  4. Suits and Sundays cannot be held liable for compensation of costs, damage and interest if it has not been able to fulfill an obligation resting on it as a result of force majeure. Suits and Sundays is in force majeure if it cannot, not timely or not properly fulfill due to causes not attributable to it, including the circumstances listed below, the list of which is exhaustive: - non and / or late delivery of suppliers, illness of employees and / or third parties engaged by Suits and Sundays, strike and other causes not attributable to Suits and Sundays business interruption, fire, leakage, theft, lack of raw materials, transport difficulties, government measures, extreme high water, state of war, threat of war, floods, storm, sleet, snow and similar weather conditions. Suits and Sundays is not liable for damages in those cases.

 

Article 8. Damage and / or theft

 

  1. The client is liable for all damage and / or pollution caused to the location / space and inventory caused by the tenant or third parties; which have been given access to the location by the tenant during the rental of the meeting / event space.

  2. The client is liable for all damage caused by the theft of inventory of the meeting room caused by the tenant or third parties; which have been given access to the meeting / event space by the tenant during the rental of the meeting / event space.
